General Terms and Conditions

1. Client

A natural or legal person who entrusts LEGALS PAPER to carry out a job of generating legal content.

2. Budget and contract formalization

2.1 As long as LEGALS PAPER has not had the opportunity to assess the nature of the complete service to be processed, any estimate provided in relation to it, as well as the fees and / or delivery date, will not be binding and may be withdrawn or modified at any time.

2.2 A contract, verbal or in writing, will be considered formalized, when the client accepts the estimate delivered by LEGALS PAPER, or when LEGALS PAPER sends a written confirmation of the order sent by the client. Written acceptance or confirmation is understood to include any acceptance or confirmation sent by fax or email.

2.3 In principle, LEGALS PAPER will confirm orders in writing. Failure to send said confirmation will not imply that the contract has not been formalized.

2.4 Unless the person who sent the request explicitly indicates that he is acting by order, or on behalf of a third party at the time the contract is formalized, and unless the name and address of the contract is indicated, LEGALS PAPER will consider as client the person who sent the request.

2.5 If LEGALS PAPER has reasonable grounds to suspect that the customer will not meet his payment obligation, LEGALS PAPER is authorized to request additional payment guarantees

3. Delivery period and deadline

3.1 LEGALS PAPER will respect the agreed delivery period except in cases beyond its control. In the event that it is impossible for LEGALS PAPER to meet the agreed deadline due to exceptional circumstances preventing it, LEGALS PAPER will be obliged to notify the customer of the fact immediately.

3.2 Delivery will be considered completed when LEGALS PAPER sends the translation to the client by email, post, fax or courier.

3.3 In relation to the order that LEGALS PAPER must carry out, the client is obliged to do everything reasonably necessary to enable punctual delivery by LEGALS PAPER.

4. Modification or cancellation of an order

4.1 In the event that the client makes changes or additions to an order once the contract has been formalized, and if said changes and/or additions are not limited in nature, which is the power of LEGALS PAPER to determine, then LEGALS PAPER reserves the right to modify the delivery period (s) and / or fees based on the changes, or to reject them.

4.2 Any modification that occurs in the conditions agreed for an order once the contract has been formalized will take effect only after the acceptance and confirmation of the same in writing by LEGALS PAPER.

4.3 In the event that a client withdraws an order once the contract has been formalized, the client will be responsible for the full payment of the agreed fees, unless LEGALS PAPER grants him a discount. LEGALS PAPER will decide the amount of said discount, which will depend on the work carried out up to that moment. LEGALS PAPER will deliver to the client all the works that have been completed up to that moment.

5. Carrying out orders and confidentiality

5.1 LEGALS PAPER guarantees its clients that all legal content generation assignments will be carried out in the best way allowed by their capabilities and experience.

5.2 LEGALS PAPER has the right to contract the services of third parties, that is, autonomous, qualified and independent professionals, to carry out the assignments.

5.3 In relation to the desired level of quality of the legal content entrusted to LEGALS PAPER, the client is obliged to provide all the necessary information on the matter to be formalized, including specific terminology.

5.4 LEGALS PAPER is committed to keeping the information provided by the client strictly confidential. LEGALS PAPER undertakes to inform the independent professional whose services it has hired, of its duty to guarantee the confidentiality of all the data that it may receive. LEGALS PAPER cannot be held liable in the unlikely event that a third party breaches its commitment not to disclose the information.

6. Fees, payments and collection costs

6.1 The fees will be based on the service price table published on the website, unless LEGALS PAPER has agreed other conditions with the client. Standard rates and applicable minimum fees are detailed on the “Services” page.

6.2 In addition to the standard rate, LEGALS PAPER will also apply a surcharge in the event that the requested legal content requires additional work, is of an extraordinary or highly specialized nature, or must be drafted with great urgency. The above list is not exhaustive.

6.3 Rates are given in US dollars and do not include VAT, unless explicitly stated otherwise.

6.4 Invoices must be paid to LEGALS PAPER within four weeks from their date of issue. The customer will be in non-payment status, without the need for proof of the demand for payment, if, as of the due date of the invoice, it has not been paid. In the event of non-payment, the legal interest rate and any other collection costs will be borne by the client, including the administrative costs of LEGALS PAPER, and the administrative costs and / or commissions of the one contracted by LEGALS PAPER. 

7. Claims and controversies

7.1 The client must formulate their claims in writing, detailing the reasons related to the content, as well as a detailed explanation, and send them to LEGALS PAPER as soon as possible, or, at the latest, within ten business days following the delivery date. Under no circumstances the claim will exempt the customer of their payment obligation.

7.2 If the client has not made any claim after the period indicated in article 7.1 has elapsed, it will be understood that he accepts the order sent entirely, and any subsequent claim will only be processed if LEGALS PAPER accepts it.

7.3 In the event of a claim or dispute, LEGALS PAPER will formally disclose its position, which will be based in part on the expert and independent opinion of professionals in the field.

7.4 In the event that LEGALS PAPER considers the claim to be well founded, either totally or partially, LEGALS PAPER undertakes to do everything possible to repair the situation.

8. Liability and compensation

8.1 A customer is only entitled to hold LEGALS PAPER liable for losses or damages that can be shown to be the direct result of an error attributable to LEGALS PAPER. LEGALS PAPER cannot be held liable, under any circumstances, for any other type of impairment, be it lost profits or losses due to delay. In no way can LEGALS PAPER be held responsible for incorrectly preparing a document or for existing ambiguities, which are based on errors in the information provided by the client.

8.2 LEGALS PAPER's liability is limited to an amount equal to the fees it would receive for the order in question, excluding VAT. In any case, said liability is limited to a maximum of $ 500 (USD)

8.3 The client is responsible for the risk of suffering adverse consequences derived from the use of the legal content prepared by LEGALS PAPER, including personal damages and financial damages. It is the customer's responsibility to check the correctness of those parts of the content delivered by LEGALS PAPER that have a special importance or a fundamental nature, such as figures, technical data, since, although LEGALS PAPER carries out the orders in the best way allowed by its skills and experience, in no case can it be ruled out that an omission does not occur.

8.4 LEGALS PAPER will not be responsible for the damage or loss of documents, information or information carriers that the client has made available to LEGALS PAPER. In addition, LEGALS PAPER will not be responsible for the loss or deterioration caused by the use of information technologies, the Internet and modern telecommunication means, nor for any loss or deterioration resulting from the transfer of information (transport companies).

8.5 The client will indemnify LEGALS PAPER for any claim made by a third party in relation to an alleged violation of a property title, patent or intellectual property right.

9. Rescission

9.1 In case of breach by the client of its obligations under this contract, or in the event of a bankruptcy, moratorium or dissolution of the client's company, LEGALS PAPER will have the right to cancel all or part of the contract, or to suspend the execution of the contract, without any compensation being demanded.

9.2 In the event that LEGALS PAPER breaches its obligations due to circumstances beyond its control, LEGALS PAPER shall have the right to postpone the performance of this contract or to terminate it, without any compensation being required from it. Such extraordinary circumstances include, but are not limited to, fire, accidents, pandemics, strikes, riots, war, transportation problems, and actions taken by the competent public authorities.

10. Copyright

10.1 Salvo que se acuerde explícitamente otra cosa, LEGALS PAPER se reservará para sí los derechos de autor de todos los contenidos legales realizados por los profesionales.

11. Applicable law

11.1 In all relationships between LEGALS PAPER and the client, the Law of the United Mexican States shall apply. All disputes will be submitted to the opinion of a competent judge of the United Mexican States. Any claim of a client before the courts against LEGALS PAPER must be formulated, in all cases, in the United Mexican States.

12. Miscellaneous

12.1 By LEGALS PAPER it is understood: the legal content generation company LEGALS PAPER, located at Calle Mariano Escobedo 375, dep. 1403, 14th floor, Col. Chapultepec Morales, C.P. 11580, Miguel Hidalgo, Mexico City

12.2 The most recent version of these general terms and conditions, which are also available at https://legalspaper.com, will be delivered at the customer's request.

12.3 These general terms and conditions will govern all legal relationships between LEGALS PAPER and the client, and invalidate the general terms and conditions of the client, unless LEGALS PAPER has agreed to accept said general terms and conditions in advance and in writing.
